In their proposal, the shareholders will be compensated with CapitaLand Integrated Commercial Trust (SGX: C38U), how will it affect the value of C38U?

Capitaland is morphing into CLIM.
The deal includes :
1) 1x CLIM shares
2) $0.951 cash
3) CICT units of 0.328
They are privatising the development in exchange. This offer will have to be voted in 3Q2021 (projected).
After which Capitaland C31 will be delisted and replaced by "CLIM". Capitaland is the sponsor of some of the biggest reits in Singapore like CICT and Ascendas REIT.
With this restructuring, Capitaland will be a
Real Estate Investment Manager (REIM) . It should expect better valuation. I believe markets reward growth and this will be exemplified with increasing income. Hence, it is likely that this offer is accepted.
